Terms of Service

CoreMessage is an API relay service operated by Kainotomes LLC, a United States company, accessible at https://coremessage.net. CoreMessage provides a programmable messaging relay for enterprise and developer customers, routing messages over SMS, Voice, WhatsApp, and Telegram, and Email, through our API and partner carrier networks.

By creating an account, calling our API, or otherwise using the Service, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you use the Service on behalf of an organization, "you" means that organization and you represent that you have authority to bind it. If you do not agree with these Terms, you must not use the Service. Legal and regulatory inquiries: legal@coremessage.net.

1. The Service

  • What we provide: A hosted messaging API that relays outbound and inbound traffic across SMS, Voice, WhatsApp (Meta), Telegram, and Email. We act as an application-to-person (A2P) and business messaging middle layer; we do not control the downstream mobile carriers or the upstream application logic of our clients.
  • What we do not provide: We do not guarantee a specific delivery time, carrier route, or end-to-end success rate. Delivery is dependent on third-party carriers, meta platforms, recipient device state, and network conditions, all of which are outside our control.
  • Availability: We work to keep the Service available and reliable, but the Service is provided "as available." Scheduled maintenance will reasonably be announced; we do not warrant uninterrupted service.
  • Compliance burden is shared: CoreMessage supports carrier registration (e.g., A2P 10DLC) and messaging-platform (e.g., WhatsApp Business) attestation, but the underlying content compliance obligation sits with you as the originating party. See §3.

2. Accounts and Acceptable Use

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account or any API key issued to you.
  • You must provide accurate, current, and complete account and billing information.
  • You may not: (a) reverse-engineer, decompile, or attempt to extract the source of the Service or its integrations; (b) use the Service to build a competing relay; (c) scrape or harvest data in bulk without our express written consent; (d) use the Service to send unlawful, infringing, or policy-violating content; (e) interfere with the Service's integrity, security, or performance, including DDoS behavior, credential stuffing, or unauthorized access by or on behalf of any party.

3. Messaging and Carrier Compliance

As a customer, you are responsible for complying with all applicable messaging laws and carrier and platform rules in the jurisdictions and channels you use. This includes, without limitation:

  • United States (SMS / MMS / RCS): TCPA (47 U.S.C. §227 and implementing rules), the CTIA Best Practices for A2P Messaging, the A2P 10DLC registration and carrier registration regime, and any applicable state or federal wiretap or anti-robocall laws (e.g., TSR / FCC rules). You must hold documented, verifiable opt-in consent for every recipient, with accurate records including consent source, date, capture method, and scope.
  • Wholesale / international routes: equivalent local laws (e.g., Canada's Anti-Spam Legislation, the UK/EU ePrivacy Directive and GDPR, and country-specific A2P registration programs).
  • WhatsApp Business (Meta): Meta's WhatsApp Business Platform Commerce Policy, the "Opt-in / Opt-out" requirements in the WhatsApp Business Messaging Terms, and Meta's template approval workflow.
  • Telegram / Email: applicable anti-spam law (CAN-SPAM, CASL, GDPR/ePrivacy) and platform terms.

3.1 Your obligations regarding consent and opt-in

  • Before sending, you must obtain a documented opt-in from each recipient (or the end-consumer where you are operating a program behind CoreMessage). Records must tie the consent to a specific sender identifier (your brand/MCN), the channel, the message class, and the date/time of capture.
  • You must honor recipient opt-out requests promptly and in all channels. Opt-outs must propagate to every program we know that you operate.
  • You must include, in the first outbound message to a new recipient, at minimum: your brand name, a plain-language purpose and expected frequency, the applicable STOP/HELP (or equivalent) instruction, and a statement that standard message and carrier data rates may apply.
  • You may not use consent to send a message that is of a materially different type, brand, or sender than the one described in your consent disclosure.

3.2 Prohibited content and behavior

  • Unsolicited commercial bulk messaging, phishing, or social-engineering attempts (including lookalike brands or "brand abuse").
  • Fraud of any kind, including advance-fee scams, impersonation of government, law-enforcement, or financial institutions, or "carding."
  • Harassment, threats, discrimination, or content that would be actionable as tortious conduct under applicable law.
  • Content that is unlawful to transmit in the destination jurisdiction, including child sexual-abuse material and the trafficking of persons or prohibited goods.
  • Misrepresentation of sender identity, including the use of reserved/short codes that you do not own, or any attempt to spoof the origin of a message.
  • Content that encourages violence, incites hatred, or violates intellectual-property rights without authorization.

3.3 STOP / HELP workflows

  • STOP — Recipients may opt out of all marketing/promotional SMS/MMS/RCS messages. We honor the STOP instruction and you must not send any further messages to that recipient on that or any related brand. A confirmation reply may be sent once, per carrier / CTIA guidance.
  • HELP — We route to a human or documented self-service response. You must maintain a reasonable, documented response path. Failure to do so may result in suspension or termination of the relevant sender or account.

3.4 Carrier disclaimer

Carriers are independent third parties. They are not liable for the content, timing, or delivery of messages routed through their networks. Message and data rates may apply to the end recipient. Delivery is best-effort and is dependent on the recipient's carrier, device, service plan, and network conditions. CoreMessage is not responsible for messages delayed, throttled, filtered, or undelivered by a carrier.

4. Account and API Key Security

  • You are solely responsible for the safeguarding of your API keys, tokens, and any credentials we issue. All traffic authenticated with your keys is attributed to you, including traffic from any systems, integrations, or sub-processes you authorize to use them.
  • You must implement reasonable technical controls to protect API keys in transit and at rest, rotate them on any suspected compromise, and revoke them from the dashboard immediately when no longer needed.
  • If a key is leaked, misused, or abused — whether by you, your team, an integration, or a third party acting with your credentials — CoreMessage may, at its discretion, suspend or terminate the affected account pending review. You are responsible for resulting downstream liability to us, to carriers, or to recipients to the extent permitted by law.
  • We may rate-limit, throttle, temporarily block, or suspend any account, key, sender ID, or sender number that we reasonably believe is associated with abuse, fraud, policy violation, or a threat to network integrity. We will attempt to notify you, but notification may be delayed.

5. Coin Ledger, Credits, and Billing

  • Coin types: The Service is metered using two coin types: Gold (typically consumed by SMS, WhatsApp, and Voice traffic) and Silver (typically consumed by Telegram and Email traffic, or as the fallback / lower-cost tier). The exact channel-to-coin mapping and per-unit cost are published in the Service and may be updated with reasonable notice.
  • Accounting: Coin balances are tracked per account and deducted at the time the message is submitted by CoreMessage to a downstream carrier or platform, subject to the billing events shown in the dashboard. Inbound traffic may deduct Silver where applicable; outbound traffic deducts Gold. Legacy balances, where applicable, function as a final fallback and are consumed only after the relevant coins are exhausted.
  • Refunds and adjustments: We do not refund coins for messages that were submitted to a carrier but undelivered, unless the carrier returns a definitive failure event that our billing model explicitly treats as fully refundable. We will correct billing errors we identify, whether or not you ask.
  • Payment: You agree to accurate billing information, and CoreMessage may use third-party payment processors bound by appropriate confidentiality and security agreements.
  • Overages, late fees, and termination for non-payment: We may suspend service for overdue balances. Reinstatement, if we elect to offer it, is at our discretion.
  • No third-party-beneficiary rights: Nothing in these Terms confers rights on any person other than CoreMessage and the contracting customer.

6. Intellectual Property

  • You retain all rights to content you submit. You grant CoreMessage a limited, non-exclusive license to store, transmit, and process that content only to the extent required to provide the Service. You are responsible for having the rights necessary to authorize that usage to us.
  • All rights in the Service, the CoreMessage brand and marks, APIs, documentation, and related technology are and remain the property of Kainotomes LLC or its licensors.

7. Representations and Warranties

  • You represent and warrant that (a) you have the authority to enter into these Terms; (b) your use of the Service will comply with applicable law; (c) the content you send is accurate in scope with your consent records; and (d) you will not use the Service to transmit unlawful content.

8. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." KAINOTOMES LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DELIVERY, TIMING, OR CONTENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS; THAT DEFECTS WILL BE CORRECTED; OR THAT ANY MESSAGING DELIVERED THROUGH CARRIER NETWORKS WILL BE SENT, RECEIVED, OR UNALTERED IN ANY PARTICULAR MANNER OR TIMEFRAME.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: IN NO EVENT SHALL KAINOTOMES LLC OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SERVICE, YOUR USE OR INABILITY TO USE THE SERVICE, OR ANY MESSAGING ACTIVITY FACILITATED BY THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR ENTIRE AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, OR THE SERVICE, INCLUDING FOR ANY BREACH OF ANY WARRANTY, SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIVE HUNDRED U.S. DOLLARS (USD $500). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You will defend, indemnify, and hold harmless Kainotomes LLC and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) any content you send or instruct us to send; (c) any breach of these Terms or your warranties; (d) your violation of any third-party right or applicable law; or (e) any failure to comply with carrier, Meta, or other platform messaging rules.

11. Suspension, Termination, and Effects of Termination

  • You may stop using the Service at any time. We may suspend or terminate access to the Service with respect to your account, keys, or senders, with or without notice, for any reason we reasonably believe is necessary to (a) comply with law or a lawful order, (b) protect the rights, safety, or property of any person, (c) enforce these Terms, or (d) protect the integrity of the Service, the network, or any third party. We will, where feasible, notify you in advance of suspension, except in cases of emergency, suspected fraud, or active abuse.
  • On termination, your right to use the Service ceases immediately. Any unused coin balances may be at our discretion, and we remain entitled to any fees or damages owed to us under these Terms or applicable law up to the date of termination. Sections of these Terms that by their nature should survive termination (including §8, §9, §10, §12, and §13) will survive.

12. Governing Law, Jurisdiction, and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. You and Kainotomes LLC each agree that any dispute arising out of or relating to these Terms, the Service, or your use of the Service (whether in contract, tort, or statute), shall be brought exclusively in the state or federal courts of competent jurisdiction located in Harris County, Texas, United States, and you each consent to the personal jurisdiction and venue of those courts, and waive any objection based on forum non conveniens. Nothing in this section limits either party's ability to seek injunctive or other equitable relief.

13. Changes to These Terms and the Service

  • We may modify the Service, or these Terms, from time to time in our reasonable discretion. Where a change is material, we will announce it on this page and, where feasible, by additional notice (e.g., in-band message or email). If you continue using the Service after a change becomes effective, you accept the modified Terms. If you do not accept, you must stop using the Service and, if applicable, request an account close and any applicable billing adjustments under §5.

14. Severability; Entire Agreement; Counterparts; Assignment

  • Severability: If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remainder of the Terms will continue in full force and effect.
  • Entire agreement: These Terms (together with the Privacy Policy and any referenced carrier/platform policies) form the entire agreement of the parties with respect to the Service and supersede any prior or contemporaneous understandings.
  • Assignment: These Terms will bind your permitted successors and assigns. We may assign our rights and obligations under these Terms in connection with a sale of assets, merger, or reorganization.
  • No waiver: Our failure to enforce any provision is not a waiver of that or any other provision.
